Corporate Wellness Program
What I Do
Whether you’re forming a new business or already operating through a corporation or LLC, I help establish and maintain the legal foundation of your entity.
For existing entities, that begins with a Corporate Wellness Assessment and Remediation Plan. I review the entity’s legal records, identify issues that need attention, and help bring its documentation up to date.
From there, the Corporate Wellness Program provides ongoing legal maintenance, including annual governance documentation, applicable state filings, registered agent service, and an annual review of business changes to determine what additional corporate documentation is appropriate.
The goal is simple: to give business owners a reliable legal home for their entity’s ongoing needs, with personalized attorney oversight and predictable annual pricing.
Routine legal maintenance shouldn’t require a new engagement or hourly-billing decision every time something comes up.
Where Tax Strategy Meets Corporate Legal Maintenance
The Legal Work Behind the Tax Strategy
Your tax advisor helps you navigate the financial and tax side of your business. But maintaining a corporation or LLC also involves legal responsibilities that fall outside the scope of tax preparation and accounting.
Corporate ownership, governance, and important business decisions need to be appropriately reflected in the entity’s legal records.
For example, a shareholder loan or ownership change may have both tax and legal implications. While your tax advisor addresses the tax treatment, I help determine what corporate documentation is appropriate and prepare the necessary legal records within the scope of my services.

Corporate Care Services
Additional Corporate Legal Services
As your business grows or changes, certain matters may require legal work beyond the Corporate Wellness Program’s ongoing maintenance. Corporate Wellness clients can work with me on separately scoped Corporate Care Services, including ownership transfers, changes to entity structure, amendments to governing documents, business closures, and out-of-state registrations.
Before beginning work outside the Program’s scope, I explain the recommended next steps and provide a clear scope of work and quote.
If a matter falls outside my practice, I’ll let you know and, when appropriate, help you identify the right type of professional to assist.

Common Questions
Your entity may be simpler to maintain, but it still has legal requirements.
Even with one owner, your corporation or LLC should have appropriate governing documents, organized records, and current state filings. As your business evolves, certain decisions and changes may also need to be documented. Without someone keeping track, these responsibilities can easily fall by the wayside.
The Corporate Wellness Program provides ongoing attorney-led legal maintenance, so you can focus on running your business without having to manage those requirements yourself.
Yes. I require clients to work with a CPA or tax advisor so that both the legal and tax implications of their business decisions are considered. You're always free to choose your own tax professional.
Entity formation, tax elections, ownership changes, and other business decisions can involve both legal and tax considerations. I handle the legal structure, governance documents, and ongoing entity maintenance, while your CPA or tax advisor handles tax advice, reporting, and compliance.
When appropriate, I coordinate with your tax advisor to help keep the legal and tax sides of your business aligned.
If you don't already have a tax advisor, I can provide information about independent professionals you may wish to consider.
The Corporate Wellness Program provides ongoing, attorney-led legal maintenance for your corporation or LLC.
For new businesses, the process begins with entity formation. For existing businesses, it begins with a Corporate Wellness Assessment and Remediation Plan to review legal records, identify issues that need attention, and help bring documentation up to date.
The program includes registered agent service, maintenance of entity records, appropriate annual consents, and required state filings within the program's scope. Each year, I also check in about what's happening in your business, evaluate changes that may require legal documentation, and prepare applicable resolutions or consents as part of the program.
The goal is to give your business a reliable legal home, with personalized attorney oversight and predictable annual pricing, so you don't have to manage these responsibilities yourself.
